CA Partner Terms
These terms are the agreement between you — a Chartered Accountant in practice, or a firm of Chartered Accountants ("you", "partner") — and Arya ("we", "us") for the Arya CA Partner Program. Your Arya account is still covered by the Terms of Use and the Privacy Policy. By applying to the program you accept these terms.
1. Who can join
- The program is for members of the Institute of Chartered Accountants of India (ICAI) in practice, and for firms of Chartered Accountants registered with ICAI, based in India.
- You apply with an Arya account and give us accurate details — your name, firm, ICAI membership number and, for a firm, its registration number. We check them and may accept or decline an application. Your partner code works once we accept it.
- A firm joins once, through one Arya account, and the person who applies confirms they may bind the firm to these terms. Tell us if any of your details change.
2. Your partner code and link
Once you're accepted we give you a partner code (like CA-DESAI) and a link that carries it. The code is yours alone; we may change it if it's confusing or misleading, and we'll tell you if we do. A link opened in a browser keeps your code there for 60 days.
3. How a client is linked to you
- A client is linked to you when, before their first payment for Arya:
- they enter your partner code, or have it filled in by your link, when they buy on our website; or
- they sign up for Arya with an email address you invited from your dashboard; or
- we link them to you at their request, in writing.
- The link is to the client's Arya workspace, and it is made by the client — the workspace's owner or an admin — who sees your partner code and that you are paid by us before they pay.
- The first link stands. We don't move a linked client to another partner, except at the client's own written request, from the date we receive it.
- We don't link, and pay no fee on:
- a workspace that has paid for Arya before it was linked to you;
- your own workspace, or one you or your firm own or control;
- a workspace or payment made to earn a fee rather than by a business that wants Arya.
- The client's workspace must be the client's own, under their own email. You may be a member of it.
4. What you earn
- For each payment a linked client makes for an Arya subscription, we pay you a partner fee of 25% of the amount they paid, before GST and any other tax. At today's prices that is ₹1,875 for each yearly payment of ₹7,500, or ₹249.75 for each monthly payment of ₹999. Payment-processing fees are not taken off your share.
- A free trial earns nothing until it turns into the client's first payment. A discount lowers the amount paid, and so your share of it.
- You earn on every renewal, monthly or yearly, for as long as the client stays subscribed and you remain a partner in good standing. If the price changes, your 25% is of the new price.
- We may change the partner fee for future payments, telling you at least 30 days before. Payments already made keep the fee they earned.
5. When and how we pay you
- We pay by the 10th of every month for the client payments made in the month before. By then the client's 7-day refund window under our Terms of Use has closed. There is no minimum payout.
- We pay by bank transfer to an Indian bank account in your name or your firm's name. Before your first payout, add your PAN and bank details in your dashboard (and your GSTIN, if you're registered). Until you do, your earnings are kept for you, not lost.
- Your dashboard shows each client payment, your share of it, and each payout with its bank reference. If something looks wrong, tell us within 60 days of the payout.
6. Tax
- We deduct tax at source (TDS) on your partner fee where the Income-tax law requires it, and give you the TDS certificate. Without a valid PAN, the law requires a higher rate of TDS.
- If you're registered for GST, give us a valid tax invoice for each payout; where GST applies, we pay it on top of your partner fee against that invoice.
- You are responsible for your own income tax and GST on what you earn.
7. Refunds, chargebacks and mistakes
If a payment is refunded, charged back or reversed, the fee on it is reversed too. If we have already paid it, we take it off your next payouts; if no payouts are left, we may ask you to repay it. We also correct any fee paid by mistake the same way, and we may hold back fees on payments we are looking into for fraud or a breach of these terms.
8. How you may promote Arya
Do describe Arya accurately — what it does is set out on our website. Don't:
- say or suggest that Arya is made, endorsed or approved by Tally Solutions, ICAI or any authority;
- present yourself as our employee or agent, or make promises for us about price, features or support;
- send spam or unsolicited bulk messages, or buy ads on the name "Arya" or our website's name;
- offer clients cashback, a share of your fee or any other payment for using your code;
- create Arya accounts or buy subscriptions for clients without their knowledge and consent, or pay for a client's subscription yourself to earn a fee;
- publish your code on coupon or deal sites.
9. Your professional obligations
You are responsible for meeting the ICAI Code of Ethics and any other rules that apply to you — including any duty to tell your clients that you receive a fee, and to get their consent where it is required. We help: a client who uses your partner code is shown that you are an Arya partner, that we pay you a share of their plan, and what you can see.
10. Client information
- Your dashboard shows, for each client linked to you, the name and email they signed up with, the status of their plan, the dates and amounts of their payments, and your share. It never shows their accounting data, and these terms give you no access to it.
- Use what you see only to support your client and to keep track of your fees, keep it confidential, and handle it under the Digital Personal Data Protection Act, 2023 and any other law that applies.
- We use the details you give us — including your PAN and bank account — to run the program, pay you and meet our tax duties, as the Privacy Policy describes.
11. Changes, pausing and ending
- You can leave the program at any time by writing to us. We can end it, or your place in it, by telling you at least 30 days before.
- We may pause or end your partnership at once if you break these terms, misuse your code, or act in a way that harms our customers or our name. We may then withhold fees connected to the breach.
- When your partnership ends, we still pay the fees on client payments made before the end date, under section 5. No fees are earned on payments after it.
- We may update these terms. For material changes we tell you at least 30 days before by email or in your dashboard. Staying in the program after a change takes effect means you accept it.
12. Our relationship
You are an independent professional. Nothing in these terms makes you our employee, agent, partner in law or representative, and you can't bind us to anything. The program isn't exclusive on either side.
13. Limits on liability
Our total liability to you under these terms is limited to the partner fees due to you and not yet paid. Neither side is liable to the other for indirect or consequential loss. Nothing in this section limits anything the law does not allow to be limited.
14. Governing law
These terms are governed by the laws of India, and the Indian courts have jurisdiction over disputes arising from them.
